Models of long-term cooperation between private investors and the government have yet to be improved in Belarus, but positive examples of public-private partnership (PPP) are already available.

We are proud to have supported one of the country's most successful PPP projects by advising Kapsch TrafficCom during the construction and operation of BelToll System. Launched before the introduction of special regulation in Belarus, this project required the team to develop a number of legal innovations which later could become PPP standards.

This and other investment and infrastructure projects implemented with the legal support of Aleinikov & Partners, are among the most landmark in their industries. This experience allowed us to build the knowledge, skills and resources to advice on an initiative of any scale.

What we can help with:

• Project structuring under the nuances of industry regulation, including risk matrix development, defining methods of risk minimization, and selection of financing scheme;
• Preparation of documentation package for project private initiative, support to investors at the stage of competition or tender, assistance in the preparation of necessary documentation, making SPV and provision of its compliance with the requirements to participants;
• Pre-project agreements with the public sector (MoU, LoI), concession and investment contracts, development of the optimal legal structure of such agreements (build-own-operate-transfer, build-operate-transfer, build-transfer-operate, build-own-operate);
• Advice at the stage of project implementation including on transactions with real estate items (including in particular land plots), construction activities, use of natural resources, subsoil management, protection of historical and cultural property.

Projects

Kapsch TrafficCom
Assisting Kapsch TrafficCom during the implementation of the investment project in Belarus to establish the system of electronic tolling BelToll. The project is the country's first classic example of public-private partnership implemented under the “build-transfer-operate” scheme. The announced investment amounted to EUR 267 mln.

China CAMC Engineering Co
Advising China CAMC Engineering Co, a member of Sinomach Group, China's largest state-owned corporation under the management of the Chinese Government, on the establishment of a joint Chinese-Belarusian company for the development of Great Stone industrial park.

Falcon investment company
Advising a subsidiary of the Investment Fund of Armed Forces of the State of Qatar on the construsction the 5* Minsk Marriott hotel and Falcon Club sports & entertainment complex.
